LEGAL DISCLAIMER

The purchase of the Shares being offered involves a substantial degree of risk and is suitable only for persons with adequate means and who have no need for liquidity in their investments. The Shares have not been registered yet under the Securities Act of 1933, as amended (“1933 Act”), or any state securities laws. All shares will be registered at the closing of the Private Placement Memorandum

The Offering is being made pursuant to limited or private offering exemptions from registration under the 1933 Act and the securities laws of a few states, which permit securities to be sold to an unlimited number of “accredited investors” (as described below) and a limited number of sophisticated purchasers who are not “accredited investors.” The Shares will be sold to investors who are purchasing the Shares for their own accounts for investment purposes and not with the intention to resell or otherwise distribute their Shares and who immediately prior to a purchase of the Shares (i) either have such knowledge and experience in financial and business matters that they are capable of evaluating the merits and risks of the purchase of Shares or have used a Purchaser Representative and (ii) are able to bear the economic risk of such an investment. Investors must make representations to such effect in addition to other representations by the execution of a Subscription Agreement and a Subscriber Questionnaire.

Because the Shares have not been registered pursuant to the 1933 Act or any state securities laws, the Shares will constitute “restricted securities” and will not be freely transferable until we go into active trading. No market currently exists for the Company’s common stock. Therefore, the purchase of the Shares is not suitable for investors desiring investment liquidity or investors who cannot bear the economic risk of investing in the Shares for an extended and indefinite period of time without return and possibly even the risk of loss of the entire investment.

. The Company reserves the right to accept subscriptions from subscribers who do not meet all of the above suitability standards, but who are otherwise qualified to purchase the Company’s common stock.

The Company will rely upon the accuracy of each prospective investor’s representations regarding the foregoing matters and all other statements set forth in the Subscription Agreement and the Subscriber Questionnaire. The investor suitability standards described herein also apply to any prospective purchaser of any Shares on transfer, assuming such transfer is otherwise permitted.
